Terms of Service

1. Who we are and what this covers

These Terms govern your purchase and use of Nexphaz Reviews hardware (NFC and QR stands, stickers and related devices) and the Nexphaz Reviews platform at gmb.nexphaz.com (together, the “Service”). By creating an account or activating a device you agree to these Terms. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.

2. What the Service does

Each device carries a unique web address. When a person taps or scans it, we log the event and redirect them to the Google review page you selected during activation. We provide you a dashboard showing that activity.

Every visitor is sent to the same place.We do not screen, filter, or route people based on how they might rate you, and we do not offer any feature that does. This practice, often called “review gating”, violates Google’s policies and US Federal Trade Commission rules. Attempting to use the Service to gate reviews is a material breach of these Terms.

3. No guarantee of results

We give you a working tool. We do not promise any number of reviews, any rating, any search ranking, or any business outcome. Reviews are written by your customers and published, moderated and removed by Google at Google’s discretion, entirely outside our control.

You are responsible for how you ask for reviews. Do not offer payment, discounts, free goods or any other incentive in exchange for a review, and do not write or solicit fake reviews. Doing so breaches Google’s policies and FTC rules, and is a material breach of these Terms.

4. Your account and your devices

A device does nothing until it is activated with the claim code printed on it. Keep that code private until you activate: whoever activates a device controls where it points. Each claim code works once. You are responsible for activity under your account and for keeping your password secure.

You must give accurate information at activation, and only connect a business you own or are authorised to represent.

5. Service availability and what happens if we stop

Your devices depend on our redirect service staying online. We aim to keep it available continuously but we do not promise uninterrupted service, and we may need downtime for maintenance, or be affected by events outside our control.

Because the web address is physically printed on hardware you bought, and that hardware does nothing without our redirect, we make two commitments:

  • Minimum service life. We will keep the redirect service running for each device for at least 3 years from the date that device was purchased.
  • Notice if we ever stop. If we decide to discontinue the redirect service after that period, we will give you at least 90 days’ notice by email to the address on your account, and during that time you can export your scan data and your device list.

6. What is free, and what is not

You pay for hardware. The Nexphaz Reviews platform is free and we will not start charging you for it. Free means: device redirects, unlimited devices, unlimited locations, unlimited team members, and the scan analytics dashboard.

To be clear about the boundary: “free” covers the Nexphaz Reviews platform described above. It is not a promise that other Nexphaz products are free. Separate optional services — such as website widgets, AI review replies, AI chat or voice services — are priced individually, are never added to your account automatically, and only ever start after you expressly agree to them. Requesting information about one of them does not create a charge or an obligation.

Hardware is sold at the price shown at the time of purchase. Returns and refunds follow the policy of the marketplace you purchased through, or, for direct purchases, the policy stated at checkout.

If you are a consumer in the EU or UK, you have a legal right to cancel a distance purchase within 14 days of receiving it and return it for a refund, in addition to anything stated above.

7. Your data and your customers’ data

You keep ownership of your business information and your scan data. You grant us the licence needed to operate the Service for you: storing, processing and displaying that data back to you.

When someone taps or scans your device, we record technical information about that event. Where that information relates to an identifiable person, you and we each have responsibilities under privacy law. What we collect and why is set out in our Privacy Policy, which forms part of these Terms. You are responsible for any signage or notice your own local laws require you to display where the device is installed.

8. Acceptable use

You agree not to:

  • point a device at a business you do not own or represent;
  • use the Service to gate, filter or suppress reviews;
  • offer incentives for reviews, or submit fake or manipulated reviews;
  • resell, sublicense or white-label the platform without our written agreement;
  • attempt to access another customer’s data, or probe, scan or overload our systems;
  • reverse engineer the Service, or re-encode our devices to a different destination;
  • use the Service unlawfully or in breach of Google’s terms.

We may suspend or terminate accounts and deactivate devices that breach this section.

9. Trademarks

Google, Google Maps and the Google logo are trademarks of Google LLC. Nexphaz is not affiliated with, endorsed by, sponsored by or otherwise connected to Google LLC. References to Google are made solely to describe compatibility, and any Google marks remain the property of Google LLC.

10. Warranties

We warrant that hardware will be free from manufacturing defects for 12 months from delivery. If a device fails in normal use within that period, contact us at cm@nexphaz.com with your order details and we will replace it free of charge, including return shipping. This warranty does not cover physical damage, misuse, or normal wear. These warranty terms are published here and in our product listings so you can read them before you buy.

Beyond that warranty, and except where the law says otherwise, the Service is provided “as is” without further warranties of any kind. Some jurisdictions do not allow the exclusion of certain warranties, and nothing here removes rights you have under consumer protection law that cannot be waived.

11. Limitation of liability

To the fullest extent permitted by law, Nexphaz will not be liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue, lost business or lost reviews, arising from your use of the Service.

Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or one hundred US dollars (US$100).

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.

12. Termination

You may stop using the Service and close your account at any time by contacting us. We may suspend or close an account that materially breaches these Terms. On closure we will delete or de-identify your personal data as described in the Privacy Policy, and your devices will stop redirecting.

13. Changes to these Terms

We may update these Terms. If a change is material we will notify you by email and ask you to accept the new version the next time you sign in. Each version is recorded against your account with the date you accepted it. Continuing to use the Service after a change takes effect means you accept it.

14. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws rules. The courts located in Miami-Dade County, Florida have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
